These Terms of Service ("Terms") constitute a legally binding public offer (in accordance with Article 370 of the Civil Code of the Republic of Uzbekistan) between FundingPro ("Company," "we," "us"), operated from Tashkent, Republic of Uzbekistan (website: fundingpro.uz), and any individual or legal entity ("User," "you") who accepts this offer by registering an account or using the Platform.

By accessing or using FundingPro, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

FundingPro is an AI-powered Grant Intelligence Platform that provides the following services:

• Grant Discovery: Aggregated database of grant opportunities from global and regional sources.
• AI-Powered Matching: Algorithmic analysis of user profiles and project descriptions to recommend relevant grant opportunities with eligibility scoring.
• AI Proposal Assistant: AI-driven tools for drafting grant proposals, generating budgets, and preparing supporting documents.
• Consultant Marketplace: A platform connecting users with verified grant writing consultants for professional assistance.
• Analytics Dashboard: Tools for tracking grant pipelines, proposal progress, and funding analytics.

The Company reserves the right to modify, expand, or discontinue any features of the Platform at its sole discretion, with reasonable prior notice to active subscribers.

To access the full functionality of FundingPro, you must create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the confidentiality of your login credentials.
• Accept responsibility for all activity occurring under your account.
• Notify us immediately at info@fundingpro.uz of any unauthorized use.

The Company reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

FundingPro offers the following subscription tiers:

• Free: Basic grant discovery with limited features.
• Pro ($49/month): Full AI-powered grant intelligence, unlimited saves, AI proposal assistant, and priority support.
• Enterprise ($199/month): Team collaboration, custom integrations, dedicated account manager, and API access.

All prices are displayed in United States Dollars (USD). Equivalent pricing in Uzbekistani So'm (UZS) is available at checkout and calculated at the prevailing exchange rate. The Company reserves the right to adjust pricing with 30 days' advance written notice to subscribers.

All payments on FundingPro are processed through Octobank (Uzbekistan internet acquiring service). Accepted payment methods include:

• Visa and Mastercard (international cards)
• UzCard and Humo (local Uzbek payment cards)

Subscription payments are charged on a recurring monthly basis on the anniversary of your initial subscription date. By subscribing, you authorize recurring charges until you cancel.

All transactions are subject to applicable taxes and fees as required by the laws of the Republic of Uzbekistan.

When engaging a consultant through the FundingPro Marketplace, the following escrow-based payment process applies:

1. Project Agreement: The User and Consultant agree on scope, deliverables, timeline, and total cost. A milestone plan is established within the Platform.
2. Escrow Deposit: The User deposits funds into a secure escrow account managed by FundingPro. Funds are held by the Platform and are not released to the Consultant until milestones are approved.
3. Milestone Delivery: The Consultant delivers work for each milestone. The User reviews the deliverable within the Platform.
4. Approval & Release: Upon the User's approval, the corresponding milestone payment is released to the Consultant. If the User does not respond within 7 business days, the milestone is deemed approved automatically.
5. Disputes: If the User rejects a deliverable, either party may initiate a dispute through the Platform. The Company will mediate in good faith but is not liable for the quality of Consultant work.

FundingPro charges a platform commission on consultant transactions. The exact commission rate is disclosed at the time of engagement.

Subscription Services: Monthly subscription payments are non-refundable once the billing cycle has begun. You may cancel at any time to prevent future charges, and your access will remain active until the end of the current billing period.

Consultant Escrow Payments: Refunds for consultant services are handled through the escrow dispute resolution process described in Section 6. If a milestone is rejected and no resolution is reached, the User may request a refund of the disputed milestone amount. Refunds are processed within 10 business days via the original payment method.

Exceptional Circumstances: In cases of platform-wide service failures or billing errors, the Company may issue refunds or credits at its sole discretion.

You may cancel your subscription at any time through your account settings or by contacting info@fundingpro.uz.

• Cancellation takes effect at the end of the current billing cycle.
• No partial refunds are issued for the remaining days of a billing cycle.
• Upon cancellation, your account will revert to the Free tier and all premium features will be disabled.
• Active escrow engagements with consultants are not affected by subscription cancellation and must be completed or resolved independently.

All content, software, design, logos, and trademarks on FundingPro are the exclusive property of the Company or its licensors. AI-generated proposal content created through the Platform is licensed to the User for their own use but may not be resold or redistributed.

Users retain ownership of all data, documents, and project information they upload to the Platform.

To the maximum extent permitted by the laws of the Republic of Uzbekistan:

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
• FundingPro does not guarantee that any grant application will be successful, nor does it endorse or warrant the quality of any Consultant's work.
• AI-generated content is provided for informational and assistive purposes only and does not constitute professional legal, financial, or consulting advice.
• The Company's total liability for any claim arising from the use of the Platform shall not exceed the amount paid by the User in subscription fees during the 12 months preceding the claim.
• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Any disputes arising from or related to these Terms shall be resolved as follows:

1. Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation within 30 calendar days.
2. Mediation: If negotiation fails, the parties may submit the dispute to mediation at a mutually agreed mediation center in Tashkent.
3. Court Jurisdiction: If mediation fails, the dispute shall be submitted to the competent courts of the Republic of Uzbekistan, with jurisdiction in Tashkent.

These Terms are governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any matters not addressed by these Terms shall be resolved in accordance with the applicable legislation of the Republic of Uzbekistan.

The Company reserves the right to update these Terms at any time. Material changes will be communicated to Users via email or in-platform notification at least 15 days before taking effect. Continued use of the Platform after amendments constitutes acceptance of the updated Terms.
